DESCRIPTION
In this CLE, two business valuation experts will discuss the methodology employed in performing valuations. This is meant to be more than an introductory course, reviewing the basics and expanding those basic concepts including a review of the P and L statements, Balance Sheets and other documentation needed for an evaluation, strategies for consideration on timing, documents needed, in person meetings for the company head, and questions to consider.

SPEAKERS
Peter Karutz, CPA, CVA, CFF, MAFF - Partner, Matson Driscoll & Damico LLP, Forensic Accountants
Peter joined MDD Forensic Accountants in 1983. Ten years later, he became a Partner and currently works out of the St. Louis office. Peter is also the Team Leader of MDD’s Cyber Practice Group.
He has extensive experience quantifying economic damages for arbitrations and contractual disputes and has been qualified to serve as an expert witness in Federal courts in Missouri and Kansas. He has also assisted with depositions and discoveries in Pennsylvania, New York, Kentucky, Illinois, North Dakota, Minnesota and Missouri.
He specializes in matters related to lost profits, business interruption, physical damages, oil & gas, cyber risks, power generation, mining & refining, stock & contents, catastrophe services and fraud, concealment & misrepresentation.
Peter has worked on numerous projects both in the U.S. and abroad. His experience spans a wide range of industries including automotive, retail, grain processing and transportation, banking, ethanol, synthetic gas, biomass plants, fisheries, aerospace manufacturing, hotels and hospitality and entertainment.
With a working knowledge of Spanish, he assisted in the measurement of damages that occurred as a result of the 2010 Chile earthquakes. Additionally, he assisted in the quantification, verification and analysis of damages that resulted from 9/11, Hurricane Katrina and the government closure of auto dealerships.
Peter has spoken to groups such as the American Bar Association, Lloyd’s of London Syndicates and Xchanging on forensic accounting topics such as Cyber Fraud. He serves on the Board of Directors of a number of charities and not-for-profit organizations and is an active member of the Knights of Columbus and Knights of Peter Claver.
Peter is a graduate of Loyola University of Chicago where he earned a Bachelor of Business Administration degree.
Christopher Volz, CPA/ABV/CFF, ASA - Partner & Director of Business Valuation and Litigation Services, Mueller Prost LC
Chris Volz is a Partner and the Director of Valuation Services at Mueller Prost. Over 20 years of experience working with closely-held, middle-market companies and their shareholders enables Chris to deliver a diverse and substantial array of services to help these businesses realize their true value. His strong interpersonal skills play a critical role in helping business owners identify and implement solutions to various challenges facing their businesses.
Over the course of his career, Chris has developed a well-rounded skill set through his involvement with financial statement audits, tax consulting, business process improvement consulting, and of course, valuation services. He has conducted valuation projects involving many different types of businesses and industries, with particular emphasis in the areas of manufacturing, distribution, ag production, financial services and healthcare. Chris uses the valuation process along with his technical, planning, and problem-solving skills to not only develop a well supported value conclusion, but also help his clients identify and address other business factors and issues that are critical to achieving their goals.
As a valuation services professional and expert witness, Chris has made a positive difference for his clients. His strengths include his experience with mergers and acquisitions, intellectual property analysis, economic damage calculations, and estate and gift taxes. Chris is also very well-versed on the latest developments in the areas of discounts for lack of control and lack of marketability, which is crucial to the support of valuation discounts in matters involving the Internal Revenue Service.
Missouri Bar, MCLE Department
Credit has been approved with the Missouri Bar, MCLE Department for 2.00 MO MCLE credits.
It is BAMSL's policy to collect payment for events, meetings, and seminars prior to admittance to the event. If payment is not made during registration for the event then you will be required to pay upon check-in at the event. BAMSL may collect an administrative fee for registration cancellations or transfers made within seven (7) days of an event: $10 for one-hour CLE seminars, $25 for half-day CLE seminars and ticketed social and membership events, and $50 for full-day CLE seminars and conferences. Due to the cost of catering, no refunds will be given for pre-ordered meals unless BAMSL received the cancellation request at least seven (7) days prior to the event. All registration change, cancellation, and refund requests should be made in writing.

The Bar Association of Metropolitan St. Louis ("BAMSL") hosts a variety of events and activities ("Event" or "Events") for member and non-member attendance and participation. By attending an Event all participants hereby affirm, acknowledge, and agree to the following:
- The participant acknowledges that BAMSL may take photos, video recordings, and/or audio recordings of participants throughout the Event. These photos and video recordings are for BAMSL use and may appear on the BAMSL website, newsletter, brochures, magazine, broadcasts, streaming, social media platforms, or future BAMSL promotional material. BAMSL may also share photos, video recordings, and/or audio recordings with news organizations for publication online, in print, or broadcast. By attending the Event the participant consents to usage of their likeness and/or voice in all such media without compensation. The participant acknowledges and agrees that BAMSL, and its successors and assigns, is the sole owner of all copyrights, literary rights, and similar rights to such media.
- The participant agrees to release and hold-harmless BAMSL and its agents, employees, officers, members, contractors, and vendors from and against all claims for damages and liability resulting from any claims of negligence or gross negligence for exposure to any viral or bacterial agents and the resulting illnesses therefrom, such as COVID-19, while attending the Event.
- The participant agrees that they will not attend the Event if they have a temperature of 100.4° F or above, or have exhibited any other symptoms of COVID-19 within the 14 days prior to the Event, including cough, shortness of breath, fatigue, new loss of taste or smell, and other symptoms as listed by the Centers for Disease Control and Prevention.
